1. Acceptance of Terms

By accessing or using ShopTalk Messenger ("Service"), operated by Collision Repair Innovations ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ShopTalk Messenger is a business communication platform that provides text messaging, voice calling, webchat, and review management services designed for collision repair businesses. The Service is provided on a subscription basis.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to send unsolicited messages (spam) or make unsolicited calls
  • Violate any applicable federal, provincial, or local laws or regulations, including but not limited to Canada's Anti-Spam Legislation (CASL) and the Telephone Consumer Protection Act (TCPA)
  • Send messages or make calls that are harassing, threatening, defamatory, or otherwise objectionable
  • Use the Service to transmit any malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service in any manner that could interfere with, disrupt, or negatively affect the Service or its servers
  • Resell or redistribute the Service without our prior written consent

5. Messaging and Calling Compliance

You are solely responsible for obtaining all necessary consents from recipients before sending text messages or making calls through the Service. You must comply with all applicable telecommunications regulations, including CASL, TCPA, and any other relevant legislation. Failure to comply may result in immediate termination of your account.

6. Fees and Payment

You agree to pay all fees associated with your subscription plan. Fees are billed monthly in advance and are non-refundable except as expressly stated in these Terms. We reserve the right to change our pricing with 30 days' notice. Overage charges for messages and minutes exceeding your plan's included amounts will be billed at the rates specified in your plan.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Collision Repair Innovations. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may cancel your subscription at any time through your account settings or by contacting us.

9. Limitation of Liability

In no event shall Collision Repair Innovations, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the applicable Canadian province.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
